Agreement to Terms

By accessing or using the LearnSphere Academy website (the "Service"), you agree to be bound by these Terms and Conditions (the "Terms"). If you disagree with any part of the terms, then you may not access the Service.

3. Course Enrollment and Payment

Enrollment in courses offered by LearnSphere Academy is subject to availability and acceptance of your enrollment request. Payment for courses is required in accordance with the pricing and payment terms specified on the Service. LearnSphere Academy reserves the right to change course prices at any time.

All fees are non-refundable except as explicitly stated in our Privacy Policy and Cookies Policy . Failure to pay the required fees may result in your enrollment being terminated.

4. Intellectual Property

All content provided through the Service, including but not limited to course materials, videos, text, graphics, logos, and software, is the property of LearnSphere Academy or its licensors and is protected by copyright and other intellectual property laws. You may not use any content from the Service for commercial purposes without obtaining a license to do so from us or our licensors.

You agree not to modify, publish, transmit, participate in the transfer or sale of, create derivative works from, distribute, display, reproduce, or perform any content from the Service without prior written consent from LearnSphere Academy.

5. User Content

Users may be permitted to submit content to the Service, including but not limited to comments, forum posts, and project submissions. You retain ownership of any intellectual property rights that you hold in that content. However, by submitting content to the Service, you grant LearnSphere Academy a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the content in connection with the Service.

LearnSphere Academy, its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

In no event shall LearnSphere Academy, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

These Terms shall be governed and construed in accordance with the laws of California, United States, without regard to its conflict of law provisions.

10. Changes to Terms

LearnSphere Academy reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and LearnSphere Academy's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

15. Course-Specific Terms

Certain courses offered by LearnSphere Academy may have specific terms and conditions in addition to these Terms. Such course-specific terms will be provided to you before enrollment. By enrolling in such a course, you agree to be bound by those additional terms.

16. Refund Policy

Our refund policy is outlined below. This policy is subject to change, and any changes will be posted on our website. For courses purchased directly through LearnSphere Academy:

• Full Refund: Available within 14 days of purchase if no more than 20% of the course content has been accessed.
• Partial Refund: May be considered on a case-by-case basis after 14 days, depending on circumstances.
• No Refund: No refunds will be issued after 30 days from the purchase date or if more than 50% of the course content has been accessed.

Refunds will be processed using the original method of payment. Please allow up to 14 business days for the refund to appear in your account.

17. Code of Conduct

LearnSphere Academy is committed to providing a safe and inclusive learning environment for all students. All users are expected to adhere to the following Code of Conduct:

• Treat all members of the LearnSphere Academy community with respect and courtesy.
• Do not engage in any form of harassment, discrimination, or intimidation.
• Do not share or distribute course materials without permission.
• Do not engage in any form of academic dishonesty, including plagiarism.
• Report any violations of this Code of Conduct to LearnSphere Academy administration.

Violations of this Code of Conduct may result in disciplinary action, including suspension or termination of your account.

18. Binding Agreement

By using this Service, you acknowledge that you have read these Terms and Conditions, understand them, and agree to be bound by them. These Terms and Conditions constitute the entire agreement between you and LearnSphere Academy regarding your use of the Service.

19. Class Cancellation Policy

LearnSphere Academy reserves the right to cancel or reschedule courses due to unforeseen circumstances, such as instructor unavailability or low enrollment. In the event of a course cancellation, students will be notified via email as soon as possible.

• Rescheduling: Students will be given the option to transfer their enrollment to a future session of the same course or a similar course.
• Refunds: If rescheduling is not feasible, students will be entitled to a full refund of the course fee.

LearnSphere Academy is not responsible for any incidental expenses incurred by students due to course cancellations or rescheduling, such as travel or accommodation costs.

20. Assignment

You may not assign your rights or obligations under these Terms without the prior written consent of LearnSphere Academy. LearnSphere Academy may assign its rights or obligations under these Terms without your consent.

21. Force Majeure

LearnSphere Academy shall not be liable for any failure to perform its obligations under these Terms if such failure is caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor or materials.

22. Updates to Services

LearnSphere Academy may, from time to time, introduce new features, modify existing features, or discontinue features of the Service. You acknowledge that LearnSphere Academy has no obligation to continue supporting any particular feature or version of the Service.

23. User Feedback

We value your feedback regarding the Service. By submitting feedback, suggestions, or ideas to LearnSphere Academy, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, and distribute such feedback for any purpose, without any obligation to you.

LearnSphere Academy respects the intellectual property rights of others. If you believe that your copyrighted work has been infringed, please follow the procedures outlined in our DMCA policy, which is available upon request.

25. Export Control

You agree to comply with all applicable export control laws and regulations. You will not export or re-export any software or technical data obtained from LearnSphere Academy without proper authorization.
